Convenience translation
This English version is provided for convenience only. Zaplia is a Mexican company operating under Mexican law, and the Spanish original is the legally binding version. In case of any discrepancy between the two, the Spanish text prevails.
Plain-language summary
By using Zaplia, you agree to these terms. Your customers, products and chats belong 100% to you. You get a 14-day money-back guarantee if the service isn't for you. There's no forced commitment period and you can cancel your subscription at any time from your dashboard.
1. Acceptance of Terms
This Agreement governs access to and use of the software-as-a-service ("SaaS") platform provided under the trade name Zaplia (hereinafter, "ZAPLIA"). The service is provided by an individual registered with Mexico's Federal Taxpayer Registry as a sole proprietor (the "Provider"); the Provider's name, tax ID and tax address appear on the tax invoice (CFDI) for every charge and are provided in writing to anyone who requests them at legal@zaplia.app.
Territorial scope: Zaplia is offered exclusively to businesses established in Mexico. It is not directed at consumers or residents of the United States, Canada, the European Union or any other country. Anyone accessing the service from outside Mexico does so on their own initiative, at their own risk and subject to Mexican law. This English text is a courtesy translation; the Spanish version governs.
By creating an account, logging in, or linking a WhatsApp line via QR code, the User expresses their express and irrevocable consent to be bound by these Terms and by the Privacy Notice.
2. Service Description and Features
Zaplia provides commercial infrastructure for sales and support over messaging:
- Multi-agent WhatsApp inbox: Concurrent handling by multiple agents on a single business line.
- Express PDF quoting (<10s): Automated quote generation with logo, photos, tax breakdown, and bank account details for direct payment.
- Real-time atomic inventory: Stock deduction with concurrent transactional locking when payments are recorded, eliminating overselling.
- AI assistant: Semantic vector search and reply assistance powered by Google Gemini Flash.
3. Plans, Subscription and Billing
Plans are sold on a subscription basis with automatic recurring billing (monthly), or as a prepaid annual single payment with no auto-renewal when you choose that at checkout — see below. Current plans, their limits and their prices in Mexican pesos are published at zaplia.app/en/pricing; the price, amount and date of each charge are clearly disclosed before you subscribe.
Advance renewal notice: we will notify you at least 5 calendar days before each recurring charge, so you can cancel without penalty if you choose to, in line with Mexico's Federal Consumer Protection Law.
Frictionless cancellation: you can cancel your subscription at any time from your dashboard, in no more steps than it took to sign up — no calls, no mandatory phone confirmation, no disproportionate process.
14-Day Guarantee: If you request cancellation within the first 14 calendar days after your first charge, we will refund 100% of your payment with no penalties.
Prepaid annual plan: in addition to recurring monthly billing, some plans are offered as a prepaid annual option — a single payment covering 12 months at the price of 10. This option is not a recurring subscription and does not auto-renew: when the paid period ends you are charged nothing, and your account moves to the free tier with all your data intact. We will notify you at least 14 calendar days before your year ends so you can decide whether to renew.
Annual plan refunds: the 14-Day Guarantee applies just as it does to monthly plans — within the first 14 calendar days after payment we refund 100%. After that window the annual payment is not refundable on a prorated basis; in exchange, you keep the contracted service through the last day of the period you paid for, even if you stop using it earlier. Since the annual plan does not auto-renew, there is nothing to cancel: you simply do not pay again.
OXXO voucher payment: if you choose to pay your annual plan at OXXO, we generate a voucher valid for 3 days. Your plan activates when payment is confirmed, not when the voucher is generated — confirmation can take a few hours after you pay in store. If the voucher expires unpaid, you are charged nothing and can generate another whenever you want.
Interest-free installments (meses sin intereses): when paying with a participating credit card you may split the annual payment into 3 or 6 interest-free installments. The installment plan is administered by your card issuer under its own terms; Zaplia receives the full payment upfront and charges no interest or additional fees for this option.
Late or failed payments: if a recurring charge fails, your account enters a grace period during which your data is preserved but some features are limited; if payment is not resolved, your plan automatically downgrades to the free tier without deleting your data.
Tax data: you can enter your Mexican tax ID (RFC), legal name, and tax regime from Settings → Billing at any time. Automatic CFDI 4.0 electronic invoicing with Mexico's tax authority (SAT) is in development — while it's being enabled, your tax data is saved and ready to use. This applies to customers billing within Mexico; it is not required to use the service.
Important — charges to YOUR customers: if you connect your own MercadoPago account to collect payments from your customers, that money goes directly to your account; Zaplia never receives, holds, or takes a commission on it. Stripe only processes YOUR subscription to Zaplia.
4. Data Ownership, Intellectual Property and Privacy
All your customers, contacts, messages, catalogs and inventory belong exclusively to you. Zaplia never sells or shares your data with third parties — see our Privacy Notice.
The Zaplia software, code, brand, design and other platform elements are the property of their author and owner, who licenses them to the Provider to deliver the service. Subscribing grants you a limited, non-exclusive, non-transferable, revocable license to use the platform — no ownership rights in the software are transferred to you.
5. Use of Artificial Intelligence
Zaplia includes an AI assistant that can suggest, or, if you enable it, automatically send replies to your customers on WhatsApp. Rules that always apply, with no exception:
- The AI never sets or negotiates a price — any autonomous sale uses exclusively the price you registered in your catalog.
- The AI never processes payments, refunds, or subscription changes directly.
- Any reply the AI cannot confidently resolve is held for your approval before it is sent.
- You can always pause, block, or manually take over any conversation.
- You are responsible for reviewing that your assistant's configured behavior complies with the regulations applicable to your own industry (for example, healthcare or financial services).
6. Acceptable Use Policy
By using Zaplia, you agree NOT to use the platform to:
- Send unsolicited bulk messages (spam) or content that violates Meta's WhatsApp Business Commerce and Messaging Policies.
- Engage in illegal activity, fraud, impersonation, or harassment.
- Collect or share third parties' personal data without the consent required by law.
- Attempt to breach platform security, evade usage limits, or resell access without written authorization.
Violations may result in immediate account suspension, without prejudice to any applicable legal action.
7. Dependence on Third-Party Services
The WhatsApp channel depends on infrastructure operated by Meta Platforms, Inc. You are responsible for ensuring your number and how you use it comply with the WhatsApp Business Messaging Policy — Zaplia does not control or guarantee Meta's decisions (including suspending a number) and is not liable for service interruptions caused by third-party providers (Meta, Google, OpenAI, Anthropic, Stripe, MercadoPago, Resend, Supabase, Vercel) outside our reasonable control. The service is provided on a commercially reasonable best-effort basis without any uptime guarantee.
8. Limitation of Liability
The service is provided "as is" and "as available." To the maximum extent permitted by applicable law, Zaplia will not be liable for indirect, incidental, or consequential damages (lost sales, data loss not caused by Zaplia, or lost business opportunity), and our total liability to you for any claim is limited to the amount you paid Zaplia in the 3 months preceding the event giving rise to the claim. Nothing in this clause limits liability in cases where Mexican law does not permit such limitation (for example, willful misconduct or bad faith) or waives non-waivable consumer rights.
Your indemnity: you agree to defend, indemnify and hold harmless the Provider and the individuals referred to above from any claim, complaint, regulatory proceeding, fine or legal expense arising from your use of the service in breach of the law or these Terms, from the messages, prices and promises you or your AI assistant send to your customers, from processing your customers' data without the notice or consent required by law, or from messaging recipients outside Mexico.
Messaging outside Mexico: if you message numbers in other countries you are solely responsible for complying with their laws. For recipients in the United States or Canada (+1) you represent that you hold the prior express written consent required by the Telephone Consumer Protection Act (47 U.S.C. § 227), the CAN-SPAM Act and Canada's anti-spam legislation, and you assume any resulting claim or penalty. You represent that neither you nor your representatives appear on Mexican, UN or U.S. sanctions lists and that you will not use the service from embargoed territories. The Provider may block messaging to destinations outside Mexico without liability.
9. Suspension and Termination
Zaplia may suspend or terminate your account for unresolved non-payment, violation of the Acceptable Use Policy, or at the request of a competent authority. You may cancel at any time under Section 3. Upon termination, we retain your data for as long as necessary to meet legal obligations (for example, tax obligations) and then delete it or make it available for you to export, at your choice.
10. Governing Law and Jurisdiction
This Agreement is governed by the federal laws of the United Mexican States. If you are a consumer under Mexico's Federal Consumer Protection Law, disputes are submitted to the competent courts of Mexico City, without prejudice to your right to file with PROFECO. The Provider may assign this Agreement, without further consent, to the company it incorporates to continue the service; your rights and data are preserved.
